Welcome to www.b2brain.com (B2Brain), an internet enabled product that helps sales and account management teams get contextual intelligence on their customers and prospects (the “Product“).

These Terms of Use (“Terms”) apply to your use of the www.b2brain.com, the www.credibase.com website (the “Site”). The Product is the property of Credibase, Inc., a Delaware corporation (“Credibase”“we”,“our”“us”, etc.). By accessing, using, or contributing to the Product or the Site, and in consideration for the Services we provide to you, you agree to abide by these Terms. If you do not agree to be legally bound by all the following terms, please do not access and/or use the Site or the Services. If you wish to become a member and make use of the Services, please read the Terms of Use and indicate your acceptance by following the instructions in the Registration process. The Terms of Use sets out the legally binding terms for your use of the Services. You are responsible for reviewing any applicable changes. Please read them carefully. The Terms of Use and the Privacy Policy, incorporated herein by reference, govern your access to and use of the Services. The Terms of Use are a legal agreement between you and Credibase and apply to you whether or not you are a registered member or visitor just browsing the Services. YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING THE “Confirm Details” (or equivalent) BUTTON IN THE SIGN UP PROCESS, OR BY INTEGRATING THE PRODUCT WITH YOUR SUPPORTED PLATFORMS, OR BY ACCESSING OR USING THE PRODUCT OR SITE, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU SHALL NOT ACCESS OR USE THE PRODUCT, THE SITE, ITS SERVICES AND, IF APPLICABLE, CANCEL YOUR MEMBERSHIP.


1. Basic Principles

Please read all of the Terms of Use carefully. Without limiting any term of the Terms of Use, the following are a few basic principles that apply to your use of the Site and Services: You must be 13 years or older to use the Site and Services, and by using this website, you represent and warrant that you are at least 13 years old. If you do not meet this requirement, you must not access or use the Site. If your B2Brain account or Credibase account is terminated for any reason, you may not create another Credibase account without our express prior written permission to do so. · You are responsible for all content you post via the Services (See additional terms regarding your “User Content” below). · You may not use the Services to abuse, harass, threaten, impersonate or intimidate anyone. If you become aware that a user is engaging in prohibited activity, please report such activity to Customer Support.


2. Modification

Credibase reserves the right, at its sole discretion, to modify, discontinue or terminate the Product or its Services at any time without prior notice.


3. Children Information

Credibase or its product B2Brain does not knowingly collect Personal Information from children under the age of 13. If you are under the age of 13, please do not submit any Personal Information through the Service. We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce our Privacy Policy by instructing their children never to provide Personal Information on this Service. If you have reason to believe that a child under the age of 13 has provided Personal Information to Credibase through this Service, please contact us and we will endeavor to delete that information from our databases.


4. The Product

B2Brain is an internet enabled product that helps sales and account management teams get contextual intelligence on their customers and prospects. The product currently functions in one of 2 ways:

  • As an online dashboard available for each user’s login, where they can access contextual intelligence on their target accounts
  • A plugin on Google Chrome Browser, that connects to your CRMs or Sales Engagement Platforms (e.g. Salesforce CRM, Outreach.io, Salesloft.com, Hubspot.com)

B2Brain to enable inside sales and account management teams to be more effective while engaging with prospects and customers.


5. Account Registration and Eligibility

5.1. Age Requirement

In order to use any of the Services offered by our Product, you must be in a country in which Credibase is legally authorized to operate the Services and be at least 13 years of age. You represent that (i) you have read and understood, and that you agree to be bound by, this Agreement, and (ii) you are at least 13 years old. If you do not agree to, or cannot comply with, any of the terms and conditions of this Agreement, please do not check the acceptance box and do not attempt to access any of the Services.

5.2. Registration

To use any aspect of the Product and become a “User”, you may be required to register and provide certain information, by using your existing third party social network (each, an “SNS”) (including, but not limited to, LinkedIn) login information (the “Account Information”). You agree to provide accurate Account Information and to update your Account Information as necessary to keep it accurate. Credibase will use your Account Information in accordance with its privacy policy. By providing the Product and Services associated with it, access to your registration information, you consent to Credibase to send you Service-related notices and emails, including among other things notices required by law, in lieu of postal mail. You may not opt out of Service-related message sent through the Site. We may also use the Site to send you other messages, including information about the Services and special offers. To end notification and messaging to you through the Site, you may adjust your notification settings through the Site or terminate your account.

You will be responsible for providing the network connection, and any other hardware and software necessary to use the Services.

5.3. Account Confidentiality

You agree that you will not allow others to use any aspect of your Account Information. You have responsibility for taking steps to maintain the confidentiality and security of your account. You agree to notify us immediately of any unauthorized use of your password and/or account. Credibase or B2Brain will not be responsible for any losses arising out of the unauthorized use of any of your Account Information and/or account and you agree to indemnify and hold harmless Credibase, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, for any improper, unauthorized or illegal uses of the same.

5.4. Security

To prevent unauthorized access, to maintain data accuracy, and to ensure the appropriate use of Account Information, Credibase uses appropriate physical, technical and administrative procedures to safeguard the information we collect.


6. License To The Services

6.1. License Grant

Credibase grants to you a limited, non-exclusive, non-transferable license to access and use the Product and associated Services. This license is contingent upon your compliance with any other terms and conditions applicable to you. Any violation by you of the license provisions contained in this Section 6.1 may result in the immediate termination of your right to use the Services. Credibase reserves all right, title and interest not expressly granted under this license to the fullest extent possible under applicable laws. ANY USE OF THE SERVICES NOT SPECIFICALLY PERMITTED UNDER THIS AGREEMENT IS STRICTLY PROHIBITED.

6.2. Updates

Credibase may from time to time make available to all users of the Services, updates at no cost or subject to additional fees in Credibase’s sole discretion. “Updates” means any updates, upgrades or error corrections to the Services that Credibase makes available generally to users of the Services. Notwithstanding anything else contained in this Agreement, Credibase will have no obligation to continue producing or releasing new versions of the Services or any updates thereto.


7. User Content

Some amount of data collection is required to run and provide the Service. Your privacy and the protection of that data is taken seriously but managed separately through the Privacy Policy. Credibase does not claim any ownership rights in any such content you post through the Services (“User Content”) and nothing in the Terms of Use will be deemed to restrict any rights that you may have to use and exploit any such User Content. However, by making available any User Content through the Services, you hereby grant to Credibase a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, publicly display, publicly perform, transmit, broadcast and otherwise exploit such User Content in any and all media or distribution methods (“License”). By way of example and not limitation Credibase may modify or adapt your User Content in order to transmit, display or distribute such submissions over computer networks and in various media and/or make changes to your User Content as are necessary to conform and adapt your User Content to any requirements or limitations of any networks, devices, services, data analytics tools, or media. Credibase also has the right to make your User Content available to other users including other businesses on the Site who may try to connect with you. Such sharing of data may be made with no compensation to you with respect to your User Content or otherwise. This License ends when you delete your User Content or your account unless your User Content has already been shared with others per these Terms of Use. If you create, transmit, or display information while using the Services, you may provide only information that you own or have the right to use. Please do not share your company or business information if you are not authorized to do so. You understand and agree that Credibase may review and delete any User Content that in the sole judgment of Credibase violate the Terms of Use or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any other users.


8. Content and Services Accessed through the Services

B2Brain browser extension provides an option for you to connect it to your company’s CRM or Sales Engagement Platforms. Through this connection, B2Brain is able to identify:

  • The accounts (Company Names, Company Domain Names) that you may be allocated and therefore working with
  • Use its algorithms to make suggestions on accounts that B2Brain may have identified as having the most contextual information relevant for your company

B2Brain also provides you recommended leads for specific accounts, on a best efforts basis. These leads and their contact information is available to be imported into your respective CRM or Sales Engagement Platforms for your own use.

Businesses will provide details on the services they offer, third-party services they use, and customer relationships they have built. Businesses may also link to their websites and services. Credibase may screen, modify, refuse, or remove certain content of such businesses, but is not responsible for and does not endorse any third-party content. Credibase further does not endorse any company, employer, institution, third-party service providers, other products, services, opinions, or web sites accessed through or referenced on the Services. The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. USE OF THESE SERVICES AND RELIANCE ON THIS CONTENT IS SOLELY AT YOUR OWN RISK. YOU AGREE THAT CREDIBASE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF ANY THIRD-PARTY SERVICE OR CONTENT.


9. Ownership

The Services are protected by copyright, trademark, and other laws of the United States and foreign countries. Except as expressly provided in the Terms of Use, Credibase and its licensors exclusively own all right, title and interest in and to the Services, including all associated intellectual property rights. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services. Any third-party trademarks or copyrights are used for reference only and are not an indication of endorsement of Credibase or its Site or Services. By signing up for the Trial or by subscribing to our services, you grant us a fully paid up, royalty-free, worldwide, transferable license to use Your name and logo to identify You as Our customer on the Websites or in other sales or marketing materials, provided however, We will not issue any press release without Your prior consent. If you do not wish to do so, You should notify Us via e-mail to support@credibase.com.


10. General Prohibitions

You agree not to do any of the following while using the Services: · Use the Service in a manner inconsistent with any and all applicable laws and regulations. · Sell or otherwise transfer your profile. · Use your Account to do anything unlawful, misleading, malicious, or discriminatory. · Do anything that could disable, overburden, or impair the proper working or appearance of the Site, such as a denial of service attack or interference with page rendering or other Site functionality. · Use the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by the Terms of Use · Use the Services to reproduce copyrighted materials; · Copy, store, edit, change, prepare any derivative work of or alter in any way any of the content on the Site; · Make the Services available over a network where it could be used by others; · Provide your Account Information, including your password, to any other person; · Translate, reverse engineer, decompile, disassemble, modify or create derivative works based on the Services or any portion of them, except as expressly allowed under applicable law; · Circumvent any technology used by Credibase or its licensors to protect content accessible via the Services; · Rent, lease or sublicense any of the Services; or · Use the Services in any way that violates the terms of this Agreement or other Credibase policies. · Encourage or enable any other individual to do any of the foregoing. Credibase will have the right to investigate and prosecute violations of any of the above, including intellectual property rights infringement and Services security issues, to the fullest extent of the law. Credibase may involve and cooperate with law enforcement authorities in prosecuting users who violate the Terms of Use. You acknowledge that Credibase has no obligation to monitor your access to or use of the Services or to review or edit any content, but has the right to do so for the purpose of operating the Services, to ensure your compliance with the Terms of Use, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. Credibase reserves the right, at any time and without prior notice, to remove or disable access to any content and any user, that Credibase, in its sole discretion, considers to be in violation of the Terms of Use or otherwise harmful to the Services.


11. Copyrights

As between you and Credibase, you acknowledge that Credibase owns or has a license to all title and copyrights in and to the Services. All title and intellectual property rights in and to the licensed content in the Services is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties and subject to use restrictions under such laws or treaties. You will not sublicense, assign, or transfer the license granted to you under this Agreement. Any attempt to sublicense, assign, or transfer any of the rights, duties, or obligations in violation of the provisions of this Agreement is void.


12. Credibase Trademarks and Third-Party Trademarks

The following are registered trademarks or trademarks of Credibase: B2Brain, and its design logo, Credibase, and its design logo, as well as certain other Credibase trademarks, service marks, graphics, and logos (collectively, the “Credibase Trademarks”) used in connection with the Services. The Services may contain third-party trademarks, service marks, graphics, and logos. You are not granted any right or license with respect to Trademarks or the trademarks of any third party. The use of the trademarks of any third-party is not endorsement of the Site by such third-party.


13. Security

The Services use technology to protect the digital information provided by from unauthorized use. Your use of the Services may be limited by such technology. You acknowledge that, from time to time, Credibase may modify or discontinue using such technology. Security modifications made by Credibase may from time to time include required updates to the Services. IF YOU ATTEMPT TO VIOLATE OR CIRCUMVENT ANY SYSTEM OR NETWORK SECURITY COMPONENTS OR TECHNOLOGY, YOU MAY BE SUBJECT TO CIVIL OR CRIMINAL LIABILITY.


14. Privacy

Credibase cares about your privacy. It is important that you read and understand the terms of Credibase’s Privacy Policy. Credibase may cooperate with and disclose information (including your Account Information) to any authority, government official or third-party, without giving any notice to you, in connection with any investigation, proceeding or claim arising from an asserted illegal action or infringement due to your use of the Services.


15. Termination

Without limiting other remedies, Credibase may at any time suspend, terminate, or refuse to provide you with access to the Product or its associated Services. If Credibase terminates, disables or suspends your access to the Services for any reason your will not create another Credibase account without first receiving Credibase’s express written permission to do so. Credibase may notify authorities or take any actions it deems appropriate, without notice to you, if Credibase suspects or determines, in its own discretion, that you may have or there is a significant risk that you have (i) failed to comply with any provision of the Terms of Use or any policies or rules established by Credibase; or (ii) engaged in actions relating to or in the course of using the Services that may be illegal or cause liability, harm, embarrassment, harassment, abuse or disruption for you, other users, Credibase, any other third-parties, or the Services. Without limiting any other terms of the Terms of Use, you may stop using the Services and delete your Account Information at any time by requesting to delete your account. After any termination, you understand and acknowledge that we will have no further obligation to provide the Services. Furthermore all licenses and other rights granted to you by the Terms of Use will immediately cease. Credibase will not be liable to you or any third-party for termination of the Services or termination of your use of either. UPON ANY TERMINATION OR SUSPENSION, ANY CONTENT, MATERIALS OR INFORMATION THAT YOU HAVE SUBMITTED VIA THE SERVICES WILL NO LONGER BE ACCESSIBLE BY YOU VIA THE SERVICES THEREAFTER. Any suspension, termination or cancellation will not affect your obligations to Credibase under the Terms of Use (including, without limitation, proprietary rights and ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.


16. Links to Third Party Websites

The Site and Services may contain links to or information regarding third-party websites or resources. You acknowledge and agree that Credibase is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Credibase of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Your dealings with, or participation in promotions of any third-party advertisers via the Services are solely between you and such third party and your participation is subject to the terms and conditions associated with that advertisement or promotion. You agree that Credibase is not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third parties via the Services.


17. Restrictions

You must comply with all applicable laws, including U.S. export control laws, when using the Services. Except as may be expressly permitted by applicable law or authorized by us in writing, you will not, and will not permit anyone else to: (a) upload, post, email, or otherwise transmit any images that Credibase, in its sole discretion, deems inappropriate, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (b) use any automated tool (e.g., robots, spiders) to use the Services; (c) rent, lease, or sublicense your access to the Services to another person; (d) use the Services for any purpose except for personal use; (e) circumvent or disable any usage rules or other security features of the Services; (f) use the Services in a manner that threatens the integrity, performance, or availability of the Services; or (g) remove, alter, or obscure any proprietary notices (including copyright notices) on any portion of the Services.


18. Disclaimer of Warranties

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT THE NATURE OF THE INTERNET IS NEITHER SECURE NOR PRIVATE. ACCORDINGLY, YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE SERVICE, AND YOU RELY ON THE SERVICE AT YOUR OWN RISK. ANY MATERIAL TRANSMITTED THROUGH USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM CREDIBASE OR THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. SOME STATES MAY PROHIBIT A DISCLAIMER OF WARRANTIES AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.


19. Limitation of Liability

CREDIBASE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), RESULTING FROM YOUR USE OF THE SERVICES. UNDER NO CIRCUMSTANCES WILL COMPANY’S TOTAL LIABILITY OF ALL KINDS ARISING OUT OF OR RELATED TO THIS AGREEMENT (INCLUDING BUT NOT LIMITED TO WARRANTY CLAIMS), REGARDLESS OF THE FORUM AND REGARDLESS OF WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE, EXCEED THE GREATER OF THE TOTAL AMOUNT PAID BY YOU TO CREDIBASE FOR THE SERVICE OR $100. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.


20. Indemnity

You, and your respective affiliates, will indemnify and hold Credibase, and its subsidiaries, affiliates, officers, agents, and employees, harmless from and against any claims, liabilities, costs, damages, expenses, and losses including, without limitation, reasonable legal and accounting fees, arising out of any third party claim or caused by or in any way connected with your use of the Services, including but not limited to, your User Content, your violation of this Agreement, or your violation of any rights of a third party through use of the Services.


21. Copyright Infringement

If you believe that your work or content has been copied in a way that constitutes copyright infringement, please contact us at copyright@Credibase.com and provide our copyright agent, in writing, the following information required by the Digital Millennium Copyright Act, 17 U.S.C. § 512: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work; (iii) identification of the URL or other specific location on the Services where the material that you claim is infringing is located; (iv) your address, telephone number, and email address; (v) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. Our agent for notice of claims of copyright infringement on this site can be reached using the contact information above.


22. Notice for California Members

Under California Civil Code Section 1789.3, users of the Service from California are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.


23. Feedback

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Product and associated Services (“Feedback”). You may submit feedback by emailing us at support@credibase.com. You acknowledge and agree that all Feedback will be the sole and exclusive property of Credibase and you hereby irrevocably assign to Credibase and agree to irrevocably assign to Credibase all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent rights, copyright rights, trade secret rights, and other proprietary or intellectual property rights therein. You understand that Credibase may use your Feedback without any obligation to compensate you for it, just as you have no obligation to provide any Feedback.


24. Interactions between Members

You are solely responsible for your interactions (including any disputes) with other Members. You understand that Credibase does not in any way screen Credibase users or Accounts. You are solely responsible for, and will exercise caution, discretion, common sense and judgment in, using the Site and Services and disclosing personal information to other users. You agree to take reasonable precautions in all interactions with other users, particularly if you decide to meet a Credibase user offline, or in person. In no event shall Credibase be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Service, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered users of this Service or persons you meet through this Service.


25. Entire Agreement

The Terms of Use (including the Privacy Policy) constitutes the entire and exclusive understanding and agreement between Credibase and you regarding the Services, and the Terms of Use supersede and replace any and all prior oral or written understandings or agreements between Credibase and you regarding the Services.


26. Embargoes

You may only use the Services if you are not barred under any applicable laws from doing so. If you are located in a country embargoed by United States or other applicable law from receiving the Services, or are on the U.S. Department of Commerce’s Denied Persons List or Entity List, or the U.S. Treasury Department’s list of Specially Designated Nationals, you are not permitted to purchase any paid Services from Credibase.


27. Assignment

You may not assign or transfer the Terms of Use, by operation of law or otherwise, without Credibase’s prior written consent. Any attempt by you to assign or transfer the Terms of Use, without such consent, will be null and of no effect. Credibase may freely assign the Terms of Use. Subject to the foregoing, the Terms of Use will bind and inure to the benefit of the parties, their successors and permitted assigns.


28. Notices

You consent to the use of: (i) electronic means to complete the Terms of Use and to deliver any notices or other communications permitted or required hereunder; and (ii) electronic records to store information related to the Terms of Use or your use of the Services. Any notices or other communications permitted to required hereunder, including those regarding modifications to the Terms of Use, will be in writing and given: (x) by Credibase via email if applicable (in each case to the address that you provide); or (y) by posting to the Services. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.


29. General

This Agreement shall be governed by and interpreted in accordance with the laws of the state of California without giving effect to its conflicts of law rules. Each of the Parties to this Agreement consents to the exclusive jurisdiction and venue of the state and federal courts of Santa Clara County, California. The failure of Credibase to enforce any right or provision of the Terms of Use will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Credibase. Except as expressly set forth in the Terms of Use, the exercise by either party of any of its remedies under the Terms of Use will be without prejudice to its other remedies under the Terms of Use or otherwise.
